Terms of Service

1. Acceptance of Terms

By accessing or using BYOPA.us (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all visitors, users, and event organizers.

2. Description of Service

BYOPA.us is a web-based audio distribution platform that allows event organizers ("Event Organizers") to broadcast live audio to attendees ("Panelists" and listeners) via their personal devices. Features include live audio streaming, moderation tools, live transcription, and event scheduling.

3. Accounts

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@byopa.us if you suspect unauthorized access.

You must be at least 13 years of age to create an account. Accounts created on behalf of an organization may be used only by authorized representatives of that organization.

We reserve the right to suspend or terminate accounts that violate these terms at our sole discretion.

5. Payments & Billing

Subscriptions: Starter and Pro plans are billed on a monthly or annual basis. Subscriptions renew automatically unless cancelled before the renewal date. You authorize us to charge the payment method on file for each renewal period.

Trial: Trial accounts may receive a limited one-time allotment of premium tokens for evaluation purposes. No charge is made during the trial period. You may cancel at any time before the trial ends without incurring charges.

Credits and Tokens: Referral credit has no cash value, is non-transferable, and may be used only for eligible purchases we make available, including subscription renewals and premium token pack purchases. Referral credit cannot be used to directly consume premium runtime features. Premium features such as translation, transcription, and Krisp consume premium tokens based on actual usage. Included monthly token allotments may expire at the end of the applicable cycle, while purchased premium tokens may remain available for future use on your account unless otherwise disclosed at purchase or required by law.

Refunds: All fees are non-refundable except as required by applicable law. If you believe a charge is in error, contact support@byopa.us within 30 days of the charge.

All payments are processed by Stripe, Inc. Your payment information is transmitted directly to Stripe and is not stored on our servers. Use of Stripe is subject to the Stripe Services Agreement.

5a. Paid Events & Organizer Payouts

Eligibility to sell tickets. To create an event that charges attendees for access ("Paid Event"), an organizer must (i) maintain an active Starter plan or higher and (ii) complete and receive approval for a Stripe Connect payout account, including all identity-verification and bank-account requirements imposed by Stripe. BYOPA may decline, suspend, or revoke an organizer's ability to run Paid Events at any time, including where eligibility lapses or where we reasonably suspect fraud, chargebreak abuse, or violation of these Terms.

BYOPA as temporary holder of funds. When an attendee purchases access to a Paid Event, the full purchase amount is collected by BYOPA into BYOPA's platform account, not the organizer's account. BYOPA holds these funds as a temporary custodian pending transfer to the organizer and is not the seller of, and assumes no responsibility for, the underlying event. The organizer — not BYOPA — is the merchant of record for the event experience.

Fund-hold schedule. Revenue from an organizer's first Paid Event is held for seven (7) days after the event ends before it is eligible for transfer to the organizer. Revenue from each subsequent Paid Event is eligible for transfer within twenty-four (24) hours after that event ends. BYOPA deducts its platform fee and applicable payment-processing fees before transfer. BYOPA may extend, pause, or reverse any hold where required by law, by Stripe, by a payment dispute, or where we reasonably suspect fraud or a violation of these Terms.

Refunds for Paid Events. Attendee refunds for a Paid Event are funded from amounts collected for that event. Once funds for a given ticket have been transferred to the organizer, BYOPA can no longer issue an automatic refund for that ticket; any such refund must be arranged directly with the organizer. Organizers are responsible for honoring their own refund and cancellation policies and for any chargebacks, disputes, or reversals arising from their events, including amounts already transferred to them.

Taxes. Organizers are solely responsible for determining, collecting, reporting, and remitting any taxes applicable to amounts they collect through Paid Events.

6. Referral Program

You may earn account credit by referring new users who become paid annual subscribers. Credit is applied after the referred user's first successful annual payment. We reserve the right to modify or discontinue the referral program at any time. Credits earned through referrals are subject to the credit and token terms above, including any election you make to reserve referral credit for subscription renewal or use it for premium token pack purchases.

7. Intellectual Property & User Content

BYOPA.us and its content, features, and functionality are owned by us and protected by intellectual property laws. You retain all rights to audio content you transmit through the Service. By using the Service, you grant us a limited license to transmit, cache, and route your audio content solely to provide the Service.

User responsibility for streamed content. BYOPA.us is a passive audio routing platform. We do not monitor, review, or control the audio content streamed by users through the Service. You are solely responsible for ensuring that any audio you stream — including music, performances, commentary, or other recordings — complies with all applicable copyright, licensing, and intellectual property laws. BYOPA.us is not responsible for, and expressly disclaims all liability arising from, any content you or other users choose to stream through the Service.

Copyright infringement claims (DMCA). If you believe content transmitted through the Service infringes your copyright, you may send a notice to support@byopa.us with sufficient detail to identify the claimed infringement, the rights holder, and contact information. We will respond to valid notices in accordance with the Digital Millennium Copyright Act (17 U.S.C. § 512) and applicable law.

8. Service Availability

We strive for high availability but do not guarantee uninterrupted access. We may perform maintenance, updates, or changes to the Service at any time. We are not liable for any loss resulting from temporary unavailability.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR THAT DEFECTS WILL BE CORRECTED.

BYOPA.US IS NOT RESPONSIBLE FOR ANY AUDIO CONTENT STREAMED BY USERS THROUGH THE SERVICE. WE DO NOT REVIEW, ENDORSE, OR CONTROL USER-GENERATED STREAMS. ANY CLAIMS ARISING FROM THE STREAMING OF COPYRIGHTED, PROTECTED, OR OTHERWISE INFRINGING CONTENT ARE SOLELY THE RESPONSIBILITY OF THE USER WHO INITIATED SUCH STREAM.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BYOPA.US AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

WITH RESPECT TO PAID EVENTS (SECTION 5a), BYOPA ACTS SOLELY AS A TECHNOLOGY AND PAYMENT-FACILITATION PROVIDER AND TEMPORARY CUSTODIAN OF FUNDS. BYOPA IS NOT THE ORGANIZER, PROMOTER, OR SELLER OF ANY EVENT AND MAKES NO REPRESENTATION OR WARRANTY REGARDING ANY EVENT'S OCCURRENCE, QUALITY, LEGALITY, OR CONTENT. BYOPA SHALL NOT BE LIABLE TO ANY ATTENDEE OR ORGANIZER FOR EVENT CANCELLATION, NON-PERFORMANCE, MISREPRESENTATION, OR DISPUTES BETWEEN ATTENDEES AND ORGANIZERS, AND ITS AGGREGATE LIABILITY ARISING FROM ANY PAID EVENT SHALL NOT EXCEED THE PLATFORM FEES BYOPA ACTUALLY RETAINED FROM THAT EVENT. ORGANIZERS AGREE TO INDEMNIFY BYOPA FOR ANY CLAIM, CHARGEBACK, REFUND, OR LIABILITY ARISING FROM THEIR PAID EVENTS, INCLUDING AMOUNTS ALREADY TRANSFERRED TO THEM.

11. Indemnification

You agree to indemnify and hold harmless BYOPA.us and its affiliates from any claims, liabilities, damages, or expenses (including reasonable attorney's fees) arising out of your use of the Service, your content, or your violation of these Terms.

12. Termination

Either party may terminate the account at any time. You may delete your account from your account settings or by contacting support. We may terminate or suspend your account immediately for violation of these Terms. Upon termination, your right to use the Service ceases immediately and any unused credits are forfeited.

13. Governing Law

These Terms are governed by the laws of the applicable jurisdiction, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction, as elected by BYOPA.us.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
